Understanding Your Real Estate Contract

Understanding your real estate contract might not be the most exciting part of buying or selling a home- but it is absolutely the most important. If you’ve ever asked, what is APS in real estate or what is an agreement of purchase and sale, it’s the legally binding document that controls the entire transaction.

In Ontario, the agreement of purchase and sale Ontario (APS) uses is standardized, but how it’s written, structured, and negotiated and presented makes all the difference. We can’t tell all our secrets but that last statement is very important. Let’s talk more about what can happen when an APS isn’t structured properly, and how you can be sure you know exactly what your rights are when buying or selling a house.

An Agreement of Purchase and Sale Is Legally Binding

An agreement of purchase and sale in Ontario (APS) isn’t just price and signatures. It’s a legal document that defines timelines, deposits, inclusions, conditions, and legal obligations. It answers questions like:

  • What is a conditional offer?
  • What is an irrevocable offer in real estate?
  • And what does closing date mean?

These aren’t technicalities, they determine leverage, protection, and enforceability. Years ago, I saw exactly why this matters.


While the fine print on an agreement might be “boring,” it is absolutely not to be ignored. Here are some other real estate facts you should know when considering a move.


Assumptions Lead to Disappointment

A property featured a beautiful custom built garden shed. It was expensive, thoughtfully designed, and clearly part of how the home was presented. But it wasn’t bolted to a concrete pad. The cooperating agent failed to clearly include it in the APS.

When the buyer moved in, the shed was gone.

Here’s the issue. Because it wasn’t permanently affixed, it wasn’t automatically considered a fixture. And since it wasn’t clearly included in writing, enforcement became complicated. That’s why understanding what are chattels in real estate and what is a fixture in real estate truly matters.

How do we avoid these situations from ever happening again? Remember that if it’s not written clearly in the agreement, it’s not a given. Assumptions can cost real money and lead to disappointment in what should otherwise be an exciting time.

Some other things didn’t happen as they should have in this situation, but it was a good example of how important detail in the APS can be. (No, it was not a Weeks Group agent).

The same principle applies to the closing date versus the possession date- they’re often the same, but not always. It applies to notice of fulfillment versus a waiver when removing conditions.
